In consideration of the mutual covenants and agreements contained in the Service Agreement and for other good and valuable consideration, the receipt and sufficiency of which are expressly acknowledged, One Sweep and the Customer agree as follows:
1.Interpretation. For the purposes of interpretation:
(a) words in the singular include the plural and vice-versa;
(b) words in one gender include all genders; and
(c) any reference to dollars or currency shall be in Canadian dollars and currency.
2. Definitions. In the Service Agreement, the following terms shall have the following meanings:
“Service Agreement” means this service agreement between One Sweep and the Customer.
“Change Order” means a change order referred to in section 9.
“Completion Date” means the date, as set out in the Confirmation, on which One Sweep shall complete the Services.
“Confirmation” means the Confirmation One sweep sent to the Customer after the customer books a service on the website.
“Customer” means the customer set out in the Confirmation.
“Designated Time” means the at which the Services shall begin on the Start Date, as set out in The Confirmation.
“Non-Refundable Deposit” means 50% of the Service Fee.
“Service Fee” means the fee for the services as set out in The Confirmation.
“Service Location” means the location of the Site as set out in The Confirmation.
“Service Start Time” means the time at which One Sweep shall start providing the Services, as set out in The Confirmation.
“Services” means the services One Sweep shall provide as described in The Confirmation.
“Site” means the property where One Sweep will provide the Services as set out in The Confirmation.
“Start Date” means the date, as set out in The Confirmation, on which One Sweep shall start the Services.
“Supplementary Services” means any supplementary services the Customer adds to the Services, as set out in a Change Order.
“Supplementary Service Fees” means any supplementary fees that arise due to the Supplementary Services, as set out in the Change Order.
3.Term. The Service Agreement shall start on the Start Date and shall continue until the Customer has either:
(a) cancelled the Services and has not rescheduled, as set out in secti0n 4; or
(b) paid the last invoice to One Sweep in accordance with section in 12.
4.Customer May Cancel. Despite section 3 the Customer may cancel the Services at any time, provided that:
(a) if the Customer cancels the Services less than 72 hours (24 hours for standard, deep and move in/out cleaning) before the Start Date, One Sweep shall be entitled to keep the Non-Refundable Deposit;
(b) if the Customer cancels the Services after One Sweep has started to provide Services,
(i) One Sweep shall be entitled to keep the Non-Refundable Deposit;
(ii) One-Sweep shall invoice the Customer for the Services it provided up to the time of cancellation; and
(c) if the Customer cancels the Services and doses not reschedule, the Service Agreement shall automatically terminate.
5.One Sweep May Terminate. Despite section 3, One Sweep may terminate the Service Agreement at any time without liability, cost or penalty if the Customer breaches the Service Agreement, or One Sweep, in its sole discretion, determines that it is unreasonable for any reason to continue to provide the Services and One Sweep may retain the Non-Refundable Deposit.
6. Services. One Sweep shall provide Services.
7. Service Standards. One Sweep shall provide Services to a move-in ready standard.
8. Days of Service. One Sweep shall not provide Services on any of the following days: New Years Day, Family Day, Good Friday, Victoria Day, Canada Day, Labour Day, Thanksgiving Day, Christmas Day, Boxing Day, the first Monday in August.
9. Change Orders. If the Customer requests Supplementary Services in any situation, including any of the following:
(a) in excess of the hours set out in The Confirmation;
(b) on days other than the days set out in The Confirmation; and
(c) in excess of the Services,
One Sweep and the Customer shall sign a Change Order in the form set out in Schedule “B”, and such Change Order shall be deemed to amend and to be added to and form part of the Service Agreement.
10. Access to the Site and Utilities. The Customer:
(a) represents and warrants that it has told One Sweep of any special issues and conditions relating to the Site, including the existence of fragile objects, unusual materials, all as set out in the Confirmation;
(b) shall ensure that the Site is safe, including, but not limited to:
(i) ensuring that there are no trades working on the Site when One-Sweep is providing Services;
(ii) ensuring that any hazards are marked and protected;
(iii)there are no unattended pets on the Site; and
(c) shall ensure that it or its representative meets One Sweep at the Designated Time on the Start Date; and
(d) ensure that One Sweep has safe access to the Site for the duration of the Services.
11. Invoices. One Sweep may provide invoices to the Customer as follows:
(a) when the Customer signs the Service Agreement, an invoice for the Non-Refundable Deposit;
(b) every two-weeks, invoices for the provision of Services provided to date; and
(c) after the Completion Date, an invoice for the remainder of the Service Fee.
12. Pay Immediately. The Customer shall pay the amount set out in the invoice immediately upon receiving an invoice from One Sweep.
13.Interest. If the Customer fails to immediately pay the amount set out in any invoice, One Sweep may charge interest on any amounts owing at the rate of 1.5%.
14. One Sweep Insurance. One Sweep represents and warrants that it maintains commercial general liability insurance and, when applicable, worker’s compensation coverage for all personnel who perform Services.
15. The Customer Represent and Warrants. The Customer represents and warrants that all the information it provided to One Sweep in relation to the terms of the Service Agreement and the Services is true and complete.
16. LIMITATION OF LIABILITY. IN NO EVENT SHALL ONE SWEEP BE LIABLE TO THE CUSTOMER FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES FOR ANY CLAIM ARISING OUT OF THE SERVICE AGREEMENT, OR THE SERVICES, OR BOTH, REGARDLESS OF THE CAUSE OF ACTION. DESPITE ANYTHING IN THE SERVICE AGREEMENT TO THE CONTRARY, ANY LIABILITY FOR LOSSES ARISING OUT OF OR RELATED TO THE SERVICES, OR THE SERVICE AGREEMENT, OR BOTH, WHETHER IN CONTRACT OR TORT (INCLUDING THE NEGLIGENCE OF ONE SWEEP), IN LAW OR EQUITY, SHALL BE LIMITED TO THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER UNDER THE SERVICE AGREEMENT.
17. Indemnity. The Customer shall indemnify and hold harmless One Sweep and its agents, employees, directors, officers and representatives, from and against any:
(a) cause of action, liability, loss, cost, damage, or expense (including legal, expert and consultant fees) that One Sweep incurs or sustains as a result of or in connection with the Services, or the Service Agreement, or both; and
(b) action, claim, demand, lawsuit, or other proceeding that that anyone makes, brings or prosecutes as a result of or in connection with the Services, or the Service Agreement, or both.
18. Pre-Existing Site. The Customer represents and warrants that the Site is free and clear of damage and wear and tear. One Sweep shall not be liable for pre-existing damage or wear and tear to any part of the Site.
19. No Competition. For a period of one hundred and eighty days following the Completion Date, the Customer shall not, without the prior written consent of One Sweep employ, hire, or independently contract with any employee, subcontractor, or representative of One Sweep to provide services similar to the Services.
20. Parties Independent. The Customer is not an agent, joint venturer, partner, or employee of One Sweep, and the Customer shall not represent itself in any way that might be taken by a reasonable person to suggest that it is, or take any actions that could establish or imply such a relationship.
21.Service Agreement Binding. All rights and obligations contained in the Service Agreement shall extend to and be binding on the Customer’s heirs, executors, administrators, and successors of any kind.
22.Governing Law. The Service Agreement and the rights and obligations of the parties shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. Any actions or proceedings arising in connection with the Service Agreement shall be conducted in the courts of Ontario, which shall have exclusive jurisdiction over such proceedings.
23.Schedules. Schedule “A forms part of the Service Agreement.
24.Entire Service Agreement. The Service Agreement constitutes the entire Service Agreement
Between the parties with respect to the subject matter contained in the Service Agreement and supersedes all prior oral or written representations and Service Agreements.
26.Amending the Service Agreement. Except as otherwise provided for in section 9 (Change Orders),, the Service Agreement may only be amended by a written Service Agreement duly executed by the Parties.
